1. Scope of Service & Selection

Patrick J Michael Designs (PJM Designs) provides managed digital solutions. The Client agrees to the terms associated with their selected service model:

  • Option 1: Full Ownership (Client-Hosted)
  • Option 2: Full Ownership (Provider-Hosted for 1 Year)
  • Option 3: Managed WaaS (Website as a Service)

Patrick J Michael Designs reserves the right to modify, update, or discontinue specific service offerings or features at any time without prior notice.

2. Hosting & Managed Environment (Technical ROI)

  • Managed Ecosystem: Our WaaS model is a technical partnership. We manage the digital infrastructure, including core web vitals, security patches, and server-side optimizations to ensure long-term performance.
  • Access: To protect the integrity and security of the managed environment, Patrick J Michael Designs maintains exclusive administrative access to the hosting control panel.
  • Infrastructure Flexibility: Patrick J Michael Designs reserves the right to change third-party infrastructure vendors at any time to maintain our performance and security standards.

3. Ownership & Intellectual Property

  • Design & Content: Upon full payment, the Client owns all custom visual designs and branding assets.
  • WaaS Ownership: Ownership of site files for Option 3 is granted after 12 consecutive months of active, paid service.

4. Fees, Payments, and Terminations

  • Pricing Policy: All prices, service rates, and fees are subject to change without notice at the sole discretion of Patrick J Michael Designs.
  • Billing: Fees are billed 14 days prior to the start of a new cycle. Continued use of services following a rate adjustment constitutes acceptance of the new pricing structure.
  • Suspension: Failure to pay within a 7-day grace period results in service suspension. A $50 Reconnection Fee applies.
  • Early Buyout: A $1,500 Buyout Fee is required to take ownership of WaaS projects prior to the 12-month anniversary.
  • Migration: Professional assistance with migrating to an external host is available for a $250 technical fee.

5. Limitation of Liability

Patrick J Michael Designs (PJM Designs) is not liable for data loss or outages resulting from third-party server failures, upstream infrastructure issues, or Client-initiated code changes.

6. Footer Credit

Patrick J Michael Designs may include a small professional credit link in the footer. This may be removed for a one-time $250 White Label Fee.
